Buying an e-commerce business in Indonesia can seem like a fast track to ready-made revenue. In practice, the deals that unravel are the ones that never tested the tax debts, licences and marketplace accounts behind the storefront.
In this article, we explain what foreign investors must verify before buying an e-commerce business in Indonesia. We cover ownership rules, licences, tax exposure, digital assets and deal structure. We also examine post-closing obligations under the rules in force in 2026.
What Do Ownership Rules Mean for Buying an E-Commerce Business in Indonesia?
Most e-commerce business lines are open to full foreign ownership, but the answer always turns on the classification codes printed on the target's licence.
The starting point is the Positive Investment List, issued under Presidential Regulation No. 10 of 2021 and its amendments. E-commerce trading and marketplace operations are generally open to 100% foreign participation. Certain distribution and retail classifications, however, carry conditions or capital requirements, so never assume.
Ask for the target's five-digit KBLI (Klasifikasi Baku Lapangan Usaha) codes and match each one against the list before pricing the deal.
A second point is often missed: if the target is a local limited liability company (PT), your share purchase converts it into a foreign-owned company. Under Investment Coordinating Board (BKPM) Regulation No. 5 of 2025, a PT PMA — the standard vehicle for foreign investment in Indonesia — must declare paid-up capital of at least IDR 2.5 billion and an investment plan generally above IDR 10 billion per five-digit KBLI code per project location, excluding land and buildings, subject to sector-specific exceptions. Our guide to the PT PMA setup cost in Indonesia breaks these figures down, and our step-by-step walkthrough of company registration in Indonesia lists the official fee bands.
Check minority protections, shareholder loans and any nominee structures during the same review. Treaty relief matters too: withholding tax on dividends, interest and service fees depends on the double tax agreement covering your holding jurisdiction.
2026 Capital and Fee Thresholds for Foreign-Owned E-Commerce Companies
| Item | 2026 figure | Source |
|---|---|---|
| Minimum paid-up capital (PT PMA) | IDR 2.5 billion, deposited in an Indonesian corporate bank account | BKPM Regulation No. 5 of 2025 |
| Total investment plan | Generally above IDR 10 billion per five-digit KBLI code per project location, excluding land and buildings; sector-specific exceptions apply | BKPM Regulation No. 5 of 2025 |
| PNBP establishment fee | IDR 1.5 million for authorised capital above IDR 1–5 billion; IDR 5 million above IDR 5 billion | Government Regulation No. 30 of 2026, from 1 August 2026 |
| Standard corporate income tax | 22% | Directorate General of Taxes, 2026 |
| VAT on most transactions | 11% effective rate, 12% statutory rate | PMK No. 131 of 2024 |
Which Licences and Registrations Must You Verify?
Indonesia e-commerce due diligence should confirm that every licence matches the business actually being run, because any gap becomes the buyer's problem after closing.
Licence checks are where paper reality meets commercial reality. A target may hold a valid licence for activities it no longer performs, or perform activities its licence never covered. Both situations expose the new owner to enforcement once the share transfer is registered.
Work through the four registration layers below, and ask for the underlying documents rather than summaries.
1. Business Identification Number (NIB)
The NIB (Nomor Induk Berusaha) is issued through the Online Single Submission (OSS) platform and anchors the company's identity for customs, tax and social security. Confirm the NIB is active, the risk-based licence matches current operations, and no sector approvals have lapsed. Our article on how to obtain a company registration number (NIB) in Indonesia explains the process end to end.
2. Electronic System Operator Registration
Sellers and platforms operating their own websites must be registered as private electronic system operators (PSE, Penyelenggara Sistem Elektronik) with the Ministry of Communication and Digital Affairs. Verify that the registration certificate covers the domains and apps actually in use.
3. Marketplace and Payment Accounts
Store accounts, payment gateway registrations and merchant agreements sit at the heart of an e-commerce deal. Confirm each account is held in the company's name, not a founder's personal identity, and that platform terms permit the transfer you are planning.
4. Sector and Local Permits
Food, cosmetics, health products and electronics can trigger product notifications with the food and drug authority, or local trade permits. Ask for the full permit matrix and check expiry dates against your closing timetable.
How Much Tax Exposure Comes With the Target?
In a share purchase the company keeps its history, so every unpaid instalment, defective tax invoice and misused scheme transfers with it.
Start with the 0.5% final MSME income tax question. Government Regulation No. 20 of 2026 took effect on 22 April 2026. Ordinary PT and CV entities cannot newly enter the 0.5% final MSME tax scheme. Eligible existing users may continue until their previously permitted period ends. Check the target's eligibility and model its future tax position before pricing the deal. The standard corporate income tax rate is 22%, although qualifying businesses may receive rate relief.
Next, examine value added tax. The statutory rate is 12% under PMK No. 131 of 2024, though most business-to-business transactions are billed at an effective 11%, with the higher rate reserved for luxury goods and certain sectors. Where the target is a VAT-registered entrepreneur (PKP), every faktur pajak must carry complete mandatory fields for customers to claim input VAT credits.
Withholding and filing discipline matter as much as rates. PPh 25 corporate instalments generally fall due on the 15th of the following month, or the next working day if that date is a specified holiday, PPh 23 generally applies at 2% of gross fees for covered domestic services, while other services may fall under different withholding rules, and the annual corporate return is due by 30 April for calendar-year entities. The Directorate General of Taxes (DJP) can audit earlier years, so request filed returns, tax clearance letters and records of any open assessments.
Cross-border exposure is new for 2026. The VAT collection system for cross-border digital transactions (SPP-TDLN) took effect on 25 September 2026 under Minister of Finance Regulation No. 49 of 2026. Check whether the target buys digital goods or services covered by the system. Confirm how VAT is collected and whether an existing e-commerce VAT collection arrangement applies instead. Our corporate tax planning and tax advisory services in Indonesia cover exactly this modelling work.
2026 Tax Rules That Shape Indonesia E-Commerce Due Diligence
| Item | 2026 position | Why it matters in due diligence |
|---|---|---|
| Corporate income tax | 22% standard rate; annual return due by the end of the fourth month after the tax year (30 April for calendar-year companies) | Reprice any target that previously used the 0.5% final tax |
| MSME final income tax | PT and CV companies may remain eligible | Historical filings may face reassessment at the standard rate |
| Value added tax | 12% statutory, 11% effective on most transactions | Check faktur pajak completeness for input VAT credits |
| Cross-border digital VAT | SPP-TDLN system effective 25 September 2026 | Foreign merchants must bill Indonesian VAT where it applies |
| PPh 25 instalments | Due by the 15th of the following month, or the next working day if that date is a holiday | Unpaid instalments signal cash-flow stress at the target |
Which Digital Assets Decide the Value of the Deal?
In e-commerce, the balance sheet rarely tells the story — marketplace ratings, trademarks and customer data usually carry more value than the physical assets.
Standard financial due diligence will price inventory, equipment and receivables. It will not price what the buyer is usually paying for: the storefront's reputation and its repeat customers. Assign each of the four asset classes below to a named workstream before the letter of intent is signed.
1. Marketplace Store Accounts
Platform terms often tie stores to the registered legal entity or the founder's personal identity. Confirm whether ratings, reviews and sales history can migrate with the entity, or whether an asset deal forces you to rebuild from zero.
2. Domain, Apps and Trademarks
Check that the domain, mobile apps and registered trademarks are owned by the company rather than a shareholder. Trademark records with the Directorate General of Intellectual Property should name the target, and app store developer accounts need formal assignment.
3. Inventory and Supplier Contracts
Age the stock, verify supplier terms permit assignment, and test whether bestseller margins depend on undisclosed rebates. Slow-moving inventory is a common source of post-closing write-downs.
4. Customer Data and Privacy Compliance
Indonesia's Personal Data Protection Law (No. 27 of 2022) requires a legal basis for any transfer of customer data. Confirm consents exist and that the privacy policy covers a change of control.
In a share purchase, liabilities generally remain with the company rather than becoming the shareholder's personal debts. An asset purchase leaves most liabilities with the seller but may require consents and re-registrations.
Share deals preserve the entity, but ownership changes may require updates to OSS and other registrations, and platform accounts remain subject to their terms. The transfer is executed through a notarial deed and recorded with the Ministry of Law's company registry (AHU). Government Regulation No. 30 of 2026 sets official non-tax state revenue (PNBP) fees from 1 August 2026. Fees depend on the service requested; establishment fees are scaled to authorised capital.
Asset deals transfer selected contracts, inventory, domains and goodwill instead. Most liabilities stay with the seller, but you must re-register tax profiles, renegotiate marketplace terms and reassign contracts one by one. It is slower, but cleaner where the tax history is murky.
Price the trade-off explicitly. Where due diligence finds historical tax exposure, buyers move to an asset structure or demand indemnities and holdbacks in a share deal.
| Factor | Share purchase | Asset purchase |
|---|---|---|
| What transfers | The entire company, its history and all registrations | Only the assets and contracts you list |
| Licences and NIB | Remain with the entity but may require updates or changes | May need re-issuance or fresh applications |
| Marketplace accounts | Normally continue unchanged | Often require re-registration under the new entity |
| Liabilities | Company retains known and hidden debts | Mostly remain with the seller |
| Consents needed | Shareholder approval and a notarial deed | Counterparty, landlord and platform consents |
| Official fees | PNBP fees tied to filing type | Lower state fees, heavier transaction legwork |
What Must You File Once the Deal Closes?
Post-closing compliance starts on day one, and missed filings can trigger fines, licence suspension or administrative blacklisting.
Update the shareholding on OSS and the AHU registry first, then confirm the capital position. Check the target's paid-up capital and bank records against BKPM Regulation No. 5 of 2025. Article 27 contains a 12-month retention rule, with exceptions for asset purchases, building construction and business operations. Its cross-reference creates uncertainty about its scope, so confirm how it applies to the target.
Investment reporting continues quarterly. Medium, large and PT PMA companies file the investment activity report (LKPM) through OSS, with 2026 windows running in January, April, July and October — the Quarter III window ran from 1 to 15 October. The mandatory manpower report (WLKP) is annual, with separate reports required at least 30 days before and within 30 days after a relocation.
Governance deadlines close the calendar. The annual general meeting must approve the report within six months of fiscal year end. Annual financial statements go to the tax office within four months. Our corporate secretarial services in Indonesia track these deadlines for clients every year, and you can raise your closing timetable through our contact us page at any stage.
Conclusion
Buying an e-commerce business in Indonesia rewards preparation over speed. Check ownership eligibility and licence coverage before agreeing on a price. Review the target's eligibility for the 0.5% MSME final tax, including any transitional relief. VAT discipline and marketplace account transferability also affect the deal's value.
The right structure then turns those findings into protections: indemnities and holdbacks in a share deal, or a clean asset transfer that leaves the liabilities where they belong.

Frequently Asked Questions
Yes, for most e-commerce activities. The Positive Investment List generally permits full foreign ownership, though some distribution KBLI codes carry conditions. The vehicle must then meet PT PMA capital rules: IDR 2.5 billion paid-up and an investment plan generally above IDR 10 billion per five-digit KBLI code per project location, excluding land and buildings, subject to sector-specific exceptions.
The tax debts generally remain with the acquired company; they do not automatically become your personal debts. They can still affect the company's value and finances. Review unpaid instalments, VAT shortfalls and past filings, and seek appropriate indemnities. Check whether any transitional 0.5% MSME tax relief remains available.
Only if the platform's terms allow it. Many marketplaces tie store accounts to the registered entity or a founder's identity, so ratings and sales history may not migrate. Confirm transferability in writing before choosing an asset structure.
