What Must Indonesian Companies Report About Their Beneficial Owners?
Presidential Regulation No. 13 of 2018, implemented by Ministry of Law and Human Rights Regulation No. 2 of 2025, requires corporations to report beneficial owner information to the Minister of Law. The rules exist to prevent money laundering and terrorism financing, risks monitored by the Indonesian Financial Transaction Reports and Analysis Centre (PPATK). Beneficial ownership reporting in Indonesia is now checked during business licensing, bank account opening and investment approvals, and incomplete data invites administrative sanctions under Presidential Regulation No. 13 of 2018. Corporations should prepare these declarations accurately before filing and keep them aligned with statutory financial reporting. In this guide, we outline the eight details every corporation must report, and why each one matters.
Beneficial owner reporting checklist
| Requirement | What to report | Key figure |
|---|---|---|
| Legal basis | Perpres No. 13 of 2018, Article 16(2) | 8 required data items |
| Identity number | Population identity number, driving licence or passport | 16-digit NIK |
| Tax identifier | NPWP or comparable tax identification number | 16-digit NPWP format |
| PT ownership criterion | Shares, voting rights or annual profits | More than 25% |
| Deferred initial filing | Submit information after business licence or registration | 7 working days |
Full Legal Name
8 beneficial owner details must be reported under Article 16(2) of Presidential Regulation No. 13 of 2018, beginning with each beneficial owner's complete legal name. The name must exactly match the individual's government-issued identity documents, whether a national identity card (KTP) or a passport. Discrepancies delay verification by the ministry and can surface during business licensing, bank account opening or investor due diligence. Accurate naming from the outset keeps every later filing consistent.
National ID or Passport Number
16 digits make up the NIK used for identity records in Indonesia. The statutory field under Article 16(2) of Perpres No. 13 of 2018 is the identity number shown on the beneficial owner's official identity document; AHU Online guidance lists NIK, SIM and passport as identity types. Foreign beneficial owners may provide a valid passport number. The Ministry of Law processes submissions through AHU Online, so the selected identifier must match the supporting document.
Place and Date of Birth
8 data points form the minimum beneficial owner record required by Article 16(2) of Perpres No. 13 of 2018, and place and date of birth is one of them. These details support identity verification against the required supporting documents. Article 16(3) requires all such information to be supported by documents.
Current Residential Address
7 working days is the deadline for a corporation that initially filed a willingness statement to submit beneficial owner information after it receives its business licence or registration. The residential address recorded on the beneficial owner's identity card is one of the required data points. The filing must state the address shown on identity documentation. Ministry of Law and Human Rights Regulation No. 2 of 2025 requires changes to beneficial owner information to be submitted through AHU Online within 3 working days of the change. The identity-card address is the data item under Article 16(2)(e); the home-country address of a foreign owner is a separate item, covered below.
Nationality and Citizenship
100% foreign ownership is permitted in most Indonesian business sectors, making citizenship data central to investment filings. Corporations must declare each beneficial owner's legal citizenship to support cross-border regulatory oversight. This is especially relevant for a foreign-owned limited liability company (PT PMA), whose shareholders and capital structure face close scrutiny during licensing.
Tax Identification Number
16 digits make up the NPWP format. Resident individual taxpayers use a validated 16-digit NIK as their Tax Identification Number (NPWP). Non-resident individual taxpayers use a 16-digit NPWP. Filings must include this number, or the beneficial owner's foreign tax identification equivalent. Fiscal transparency is the goal: authorities match ownership records with tax filings to detect undeclared control.
Basis of Beneficial Ownership
More than 25% of shares, voting rights or annual profits is one of the statutory criteria that determine whether an individual is a beneficial owner of a limited liability company (PT). The criteria also cover authority to appoint, replace or dismiss directors or commissioners; power to influence or control the PT; receipt of benefits; and being the true owner of funds used for share ownership. The company must record the applicable relationship between the corporation and the beneficial owner. Retain the share register and a corporate structure chart as evidence of the applicable ownership basis. This evidence shows why the individual, not a nominee, ultimately controls the entity.
Address in Country of Origin (Foreign Owners)
Article 16(2)(f) of Presidential Regulation No. 13 of 2018 requires the address in the country of origin to be reported when the beneficial owner is a foreign national, in addition to the residential address shown on the identity card. Like every item on the list, it must be supported by documents under Article 16(3). Separately from these eight items, Article 18(2) requires the corporation to accompany its submission with a statement letter confirming that the information submitted is correct.

Frequently Asked Questions
A beneficial owner is the individual who ultimately owns or controls a corporation. Under Perpres No. 13 of 2018, this includes anyone holding more than 25% of shares, voting rights or annual profits, the power to appoint or dismiss directors and commissioners, or the ability to influence decisions by other means.
Filings are made to the Ministry of Law through AHU Online. Companies typically submit the declaration via their notary during incorporation, while existing corporations update their records through the same system.
Changes to beneficial owner information must be submitted through the relevant system within 3 working days under Ministry of Law and Human Rights Regulation No. 2 of 2025. Perpres No. 13 of 2018 does not set a 5-working-day deadline for changes; its 7-working-day deadline applies to corporations that initially filed a statement of willingness and must submit the information after receiving a business licence or registration.
Not necessarily. Foreign individuals may report their foreign tax identification number instead. An NPWP is required only when the individual carries out tax activities in Indonesia, such as earning locally sourced income.
